1. Introduction
These Transaction Terms and Conditions ("Terms") govern every quotation, booking and travel arrangement made with Adventure Georgia (Pty) Ltd ("Adventure Georgia", "we", "our" or "us"). These Terms form an integral part of every quotation, booking confirmation, invoice and travel agreement issued by Adventure Georgia. By requesting a quotation, accepting a quotation, paying any deposit or booking amount, signing electronically, or confirming a booking through our website or any other electronic communication, the Client confirms that these Terms have been read, understood and accepted.
1.2 Our Philosophy
Adventure Georgia strives to provide transparent, honest and professional travel services. International travel involves third-party suppliers, changing regulations and circumstances outside anyone's control. These Terms explain the rights and responsibilities of both Adventure Georgia and our Clients.
1.3 Consumer Protection
Nothing contained in these Terms is intended to limit or exclude any rights that may not legally be limited or excluded under the Consumer Protection Act 68 of 2008 or any other applicable legislation.
2. Definitions
Adventure Georgia: Adventure Georgia (Pty) Ltd, including its employees, directors, representatives and authorised agents.
Stradix Properties: The affiliated operating company registered in Georgia responsible for delivery of certain travel services within Georgia.
Booking: Any confirmed reservation accepted after receipt of the required deposit.
Client: Every traveller named on the booking. The person making the booking confirms authority to accept these Terms on behalf of all travellers.
Supplier: Any independent third-party travel service provider including airlines, accommodation providers, transport operators, guides, ski resorts, activity providers and insurers.
Tour Price: The total amount payable for the booking before optional extras.
Force Majeure Event: An event beyond the reasonable control of Adventure Georgia including natural disasters, severe weather, pandemics, war, strikes, government restrictions, border closures and similar events.
3. Our Role
Adventure Georgia designs, organises and coordinates travel experiences. Depending on the booking, Adventure Georgia may provide services directly, arrange services through independent suppliers, or act as an intermediary.
Many travel services are provided by independent suppliers operating under their own terms and conditions. Adventure Georgia carefully selects suppliers but cannot guarantee their performance, financial stability or continued operation. Subject to applicable law, Adventure Georgia shall not be liable for losses arising solely from supplier failures or events beyond its reasonable control.
No accommodation, airline, vehicle, guide or upgrade request is guaranteed unless expressly confirmed in writing.
4. Quotations
All quotations are estimates prepared using information available at the time of issue and remain subject to availability, supplier confirmation, exchange rates, taxes, fuel surcharges and obvious clerical errors. Unless otherwise stated, quotations remain valid for seven calendar days.
5. Bookings and Deposits
A booking is confirmed only once the Client has accepted the quotation, paid the required deposit, accepted these Terms and Adventure Georgia has issued a secured Booking Confirmation.
Unless otherwise agreed in writing, a non-refundable deposit equal to 25% of the Tour Price is required to secure the booking.
6. Pricing
Prices are quoted in the currency specified on the quotation. Adventure Georgia reserves the right to adjust prices before final payment where exchange rates, supplier pricing or statutory charges materially change. Group pricing may be recalculated where traveller numbers change.
7. Payment
The remaining balance is payable no later than eight weeks before departure unless otherwise agreed in writing. Accepted payment methods include EFT, Wise, international bank transfer, approved payment links and approved credit cards. Clients remain responsible for bank charges and intermediary bank deductions unless otherwise agreed.
8. Cancellations and Refunds
Clients may cancel a Booking at any time by written notice. The 25% deposit is non-refundable unless Adventure Georgia agrees otherwise in writing or mandatory law requires a refund.
Cancellations received within eight weeks of departure may incur cancellation charges of up to 100% of the Tour Price depending on supplier commitments and non-recoverable costs already incurred.
Where Adventure Georgia is able to recover monies from suppliers, any eligible refund will be passed on to the Client less any non-refundable deposits, administration fees and supplier charges where permitted by law.
9. Travel Restrictions
Where official government travel restrictions, border closures or similar legal restrictions prevent travel, Adventure Georgia will work with the Client and relevant suppliers to obtain the most practical solution available, which may include postponement, travel credits, supplier refunds or alternative travel arrangements. Outcomes remain subject to supplier policies.
10. Force Majeure
Adventure Georgia shall not be liable for failure or delay in performing its obligations where caused by Force Majeure Events including natural disasters, severe weather, war, terrorism, pandemics, epidemics, strikes, government action, airline disruption, cyber incidents affecting suppliers, civil unrest or other events beyond its reasonable control.
Where practical, Adventure Georgia will use reasonable endeavours to minimise disruption and assist Clients in rearranging travel.
11. Travel Documents
Travel documents will normally be issued only after payment has been received in full and supplier confirmations have been finalised. Clients must carefully review all travel documents immediately upon receipt and notify Adventure Georgia without delay of any errors.
12. Passports, Visas and Entry Requirements
Clients are solely responsible for ensuring that passports, visas, transit visas, health documentation, vaccination certificates and all immigration requirements are satisfied before departure. Adventure Georgia may provide general guidance but cannot guarantee the accuracy or completeness of government requirements, which may change without notice.
Adventure Georgia shall not be responsible for denied boarding, refused entry or additional costs arising from incomplete or invalid travel documentation.
13. Insurance
Comprehensive travel insurance is compulsory for all travellers unless otherwise advised in writing. Insurance should include emergency medical treatment, evacuation, cancellation, baggage, personal liability and adventure activities where applicable.
Adventure Georgia is not an insurer and does not accept responsibility for declined insurance claims or insufficient cover selected by the Client.
14. Adventure Activities
Many activities offered by Adventure Georgia involve inherent risks, including skiing, snowboarding, hiking, rafting, horse riding, ziplining, ATV excursions and other outdoor pursuits. Participation is voluntary and Clients accept these inherent risks.
Clients must follow all lawful instructions issued by guides and activity operators, use provided safety equipment correctly, and disclose any medical condition that may affect participation. Adventure Georgia may refuse participation where safety could reasonably be compromised.
15. Transport
Adventure Georgia arranges private and shared transport using carefully selected providers. Departure times, routes and vehicle types may change where required for safety or operational reasons. Delays caused by weather, traffic, road closures or authorities do not constitute a breach of contract.
Clients must wear seatbelts where fitted and comply with local transport laws. Traffic fines or penalties arising from a Client's conduct remain the Client's responsibility.
16. Accommodation
Accommodation descriptions and photographs are representative only. Room allocation, views, bedding configurations and amenities remain subject to the supplier's availability.
Where necessary, Adventure Georgia may substitute accommodation of a similar standard due to operational requirements, overbookings, maintenance or circumstances beyond its control.
17. Itinerary Changes
Adventure Georgia reserves the right to amend itineraries before or during travel where reasonably necessary due to weather, safety considerations, supplier availability, road conditions, government requirements or other operational circumstances.
Where a material change becomes necessary, Adventure Georgia will endeavour to provide a comparable alternative. Such changes shall not automatically entitle the Client to compensation or a refund.
18. Limitation of Liability
Subject to applicable law, Adventure Georgia shall not be liable for indirect, consequential or economic loss, missed connections, loss of enjoyment, lost profits, or losses caused by third-party suppliers, force majeure events or circumstances outside its reasonable control.
Nothing in these Terms excludes liability where such exclusion is prohibited by the Consumer Protection Act or other applicable legislation.
19. Client Conduct
Clients are expected to behave responsibly and comply with all applicable laws, accommodation rules, guide instructions and safety requirements. Adventure Georgia may remove any Client from a tour where their conduct endangers themselves, other travellers or staff, or causes serious disruption. Any resulting costs shall be for the Client's account.
20. Complaints
Clients should report any concern immediately during the tour to allow Adventure Georgia an opportunity to resolve the issue. Formal complaints should be submitted in writing within fourteen (14) days after completion of travel, together with supporting documentation where available. Adventure Georgia will acknowledge receipt and investigate the complaint in good faith.
21. Privacy and Protection of Personal Information
Adventure Georgia collects and processes personal information only for purposes directly related to providing travel services, complying with legal obligations and communicating with Clients. Personal information will be handled in accordance with applicable privacy legislation, including the Protection of Personal Information Act, 2013 (POPIA), where applicable. Client information may be shared with airlines, accommodation providers, transport operators, insurers, visa authorities and other suppliers only where reasonably necessary to fulfil the Booking.

22. Electronic Communications and Acceptance
The Client agrees that quotations, invoices, itineraries, confirmations, amendments and notices may be provided electronically. Acceptance of a quotation, payment of a deposit, clicking an online acceptance button or confirming a booking by email or other electronic means constitutes acceptance of these Terms and creates a legally binding agreement.
23. Payments to Adventure Georgia (Pty) Ltd and Stradix Properties
Depending on the Booking, payment may be made either to Adventure Georgia (Pty) Ltd in South Africa or directly to Stradix Properties in Georgia, as specified on the quotation or invoice. Where payment is made directly to Stradix Properties, the Client acknowledges that the relevant services are supplied by Stradix Properties and that currency conversion charges, banking fees and exchange rate fluctuations remain the Client's responsibility unless otherwise agreed in writing.
24. Governing Law and Jurisdiction
These Terms shall be governed by the laws specified in the applicable Booking documentation. Where Adventure Georgia (Pty) Ltd is the contracting party, South African law shall generally apply. Where services are contracted directly with Stradix Properties, the laws of Georgia may apply to those services. The parties consent to the jurisdiction of the competent courts applicable to the contracting entity, subject always to any mandatory rights afforded to consumers under applicable law.
25. Dispute Resolution
The parties undertake to attempt to resolve any dispute amicably through good-faith negotiations before commencing formal legal proceedings. Nothing in this clause prevents either party from exercising any statutory rights or seeking urgent legal relief where appropriate.
26. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
27. Entire Agreement
These Terms, together with the accepted quotation, booking confirmation, itinerary and any written amendments issued by Adventure Georgia, constitute the entire agreement between the parties and supersede any prior discussions or representations relating to the Booking.
28. Amendments
Adventure Georgia may update these Terms from time to time. The version published or supplied at the time a Booking is confirmed shall apply to that Booking unless the parties agree otherwise in writing.
29. Client Acknowledgement
By accepting a quotation, paying a deposit, signing electronically or otherwise confirming a Booking, the Client confirms that they have read, understood and accepted these Terms and that they have authority to accept them on behalf of all travellers included in the Booking.
